ROC annual filing: a practical preparation checklist for 2026

Prepare a dependable company filing pack and verify applicable requirements instead of relying on a generic deadline calendar.

Annual filing is easier to manage when the accounts, corporate records and portal work are planned together. A calendar copied from another company can miss differences in entity type, financial year, approvals and filing history. Start with a company-specific checklist, then verify the requirements that apply to it.

Check the current MCA instructions

MCA publishes portal announcements, V3 filing guidance and form-related resources on its official website. Review the instructions for the applicable form before preparing the filing. Record any circular or notice relied upon, including its date and scope.

This article does not announce a blanket filing extension or an open waiver scheme. Before relying on relief, have its eligibility, covered forms, covered periods and closing date checked against the actual official document.

Create a company-specific compliance register

Record the company name, CIN, financial year, company category, relevant meeting dates, filing history and proposed forms. Ask the professional responsible for the assignment to confirm which forms and certifications apply. Keep the reason for each deadline in the register, not only the final date.

Separate “documents ready,” “approved for signing,” “submitted” and “status checked” into different stages. This prevents a prepared draft from being mistaken for a completed filing.

Bring the records into agreement

  • Keep the approved financial statements and the corresponding reports together.
  • Check director and signatory details against the records being used for filing.
  • Reconcile shareholding information and changes with the supporting corporate records.
  • Collect meeting records and approvals relevant to the forms.
  • Identify earlier outstanding filings or unresolved resubmission requests.

When two documents disagree, record the issue and resolve it before copying the figures into a form. A practical review sheet can show the field, source document, person confirming it and final approved value.

Prepare portal access before the filing date

Confirm who will prepare, review and sign the filing, and check the applicable portal and digital-signature requirements early. Use the current official help material for the form and filing workflow. Preserve the final attachments in a clearly named folder so the signatory can review exactly what will be submitted.

Do not share passwords or signing credentials casually between staff members. Use the organisation’s authorised access process and maintain responsibility for each submission.

Track completion, not just payment

After submission, retain the service request number, payment record, submitted form and attachments. Check the portal status and any further action requested. A useful closing note records what was filed, for which period, by whom, on what date and whether follow-up remains outstanding.

For a company with several missed years, prepare a year-by-year inventory before starting. Dependencies and inconsistent opening figures can otherwise carry an old error into a new filing. Have a company secretary or other appropriately qualified professional review the proposed sequence and current legal position.
